I use: http://www.dbpoweramp.com/dmc.htm but there are others. With this one, some types of files require downloading extensions to convert them at first, but when that happens it takes you directly to what you need, and installs it automatically and your set. I personally love how easy to use it is. Just right click the file and choose the format to convert it to.
If you are converting them for a personal mp3 player then mp3 is cool. But if you converting them for possible trades or anything like that, you should convert them to .wav format. Most people dont want mp3's and wont trade for them. Mp3 compresses the files, and you lose some of the fequencies, where wave (dont quote me on this part) doesnt lose anything. You want to keep them lossless for trading and distribution purposes.

Hope that helps.
